Website Services Agreement

This Website Services Agreement (“Agreement”) is entered into by and between RedE LLC (“Company,” “we,” “us,” or “our”) and the client purchasing or using our services (“Client,” “you,” or “your”). By engaging our services, signing a proposal, or using our website, you agree to the terms outlined below.
1. Scope of Services
RedE LLC provides website design, development, optimization, consulting, and related digital services (“Services”). The specific scope, deliverables, and timelines will be outlined in a written proposal, invoice, or statement of work agreed upon by both parties.
Any services not explicitly listed are not included unless agreed to in writing.
2. No Guarantee of Results
While RedE LLC uses industry best practices and professional standards, we do not guarantee specific results, including but not limited to:
Website traffic levels
Search engine rankings
Lead generation or conversions
Revenue, sales, or business growth
Client acknowledges that website performance and traffic can fluctuate due to factors beyond our control, including algorithm updates, market conditions, competition, hosting issues, and user behavior.
RedE LLC is not responsible for any drop in website traffic, rankings, or performance.
3. ADA and Accessibility Disclaimer
RedE LLC makes reasonable efforts to design and develop websites using generally accepted accessibility best practices and guidelines, including ADA-related considerations where requested.
However:
RedE LLC does not guarantee full ADA compliance
Accessibility standards, interpretations, and enforcement vary and change over time
Final responsibility for ADA compliance rests solely with the Client
RedE LLC is not responsible for ADA-related claims, complaints, audits, demands, or lawsuits, whether actual or threatened, including legal fees, settlements, or damages.
Clients are encouraged to consult a qualified accessibility or legal professional for compliance reviews and ongoing monitoring.
4. Client Responsibilities
Client agrees to:
Provide timely content, approvals, and feedback
Ensure accuracy and legality of all content supplied
Maintain appropriate licenses, permissions, and rights for text, images, trademarks, and data
Comply with all applicable laws and regulations related to their business and website
RedE LLC is not responsible for delays or issues caused by incomplete or late client materials.
5. Third-Party Services and Platforms
Websites may rely on third-party tools, hosting providers, plugins, themes, analytics platforms, or integrations. RedE LLC is not responsible for:
Third-party outages or failures
Changes to third-party pricing, features, or terms
Security breaches or service disruptions caused by third parties
6. Limitation of Liability
To the fullest extent permitted by law:
RedE LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Total liability shall not exceed the amount paid by the Client for services in the preceding 30 days
This includes but is not limited to loss of revenue, data, business interruption, or reputational harm.
7. No Legal, Financial, or SEO Advice
RedE LLC does not provide legal, financial, tax, or regulatory advice. Any information provided related to SEO, marketing, accessibility, or compliance is general in nature and should not be relied upon as professional advice.
8. Intellectual Property
Unless otherwise stated in writing:
Client owns their final website content upon full payment
RedE LLC retains the right to display completed work in portfolios and marketing materials
Any proprietary tools, frameworks, or processes used remain the property of RedE LLC
9. Termination
Either party may terminate services in writing. Any work completed up to the termination date remains billable and payable.
No refunds are provided for completed or partially completed work unless required by law.
10. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the state in which RedE LLC is registered, without regard to conflict of law principles.
11. Acceptance
By engaging RedE LLC’s services, submitting payment, signing a proposal, or using our website, Client acknowledges they have read, understood, and agreed to this Agreement.
